All payments are non-refundable. Payment 1 (50% deposit) secures your session date. Payment 2 (remaining 50%) is due before your portrait session.

Entire Agreement

This Acromatico Photography contract (the "Contract") is entered into and effective as of , by and between Client (hereinafter "Client"), and Italo Campilii of Acromatico (hereinafter "Acromatico"). The following constitutes a final and fully integrated agreement between the parties. This Contract supersedes any prior written or oral agreements between the parties.

Performance of Services

Acromatico agrees to take photographs as per Client's request delineated in the Services Provided section above, allowing for artistic expression.

Acromatico agrees to use the upmost technical quality to meet Client's needs, for web or print. Acromatico will use digital photography knowledge and expertise to create photographs for Client.

Acromatico will provide Client with a digital gallery of the final photographs within 4-6 weeks of completion of the session.

Payment

Client agrees to pay Acromatico $0 (Lump Sum All-Inclusive) in consideration for the photography services to be rendered by Acromatico.

The parties agree that this Contract needs to be signed, and a non-refundable retainer fee of 50% is required to reserve the specified services. The retainer will be subtracted from the total payment owed by Client upon completion of the services. Acromatico does not begin the post-production work and deliver the final product or post any samples until the final payment is made.

The remaining balance (50%) is due before your portrait session.

Should Client's session require travel beyond a 50-mile range, Client is responsible for all travel, accommodations, overnight stays, hot meals and transportation costs unless already provided by Client. In consideration for this fee, Acromatico will devote its time and upmost efforts to cover the session of Client.

Cancellation Policy

All deposit fees are non-refundable. A minimum of 30 days notice will be required for cancellation of this contract by Client. Any cancellation made with less than 30 days notice prior to the agreed upon service date will result in full payment by Client.

If the cancellation is initiated by Acromatico, all money paid to Acromatico from Client shall be fully refunded, including the deposit fee. Refund shall be paid out within (60) calendar days from the cancellation date.

Work Product Ownership

Any copyrightable works, ideas, discoveries, products, or other information (collectively, the "Work Product") developed in whole or in part by Acromatico in connection with the services will be the exclusive property of Acromatico. Until final payment for services rendered is made, the photographs produced by Acromatico are protected by Federal Copyright Law (all rights reserved) and may not be reproduced in any manner without Acromatico's explicitly written permission.

The copyright of all photographs produced is retained by Acromatico at its official website www.acromatico.com. Original files remain the property of the photographer and Acromatico. The photographer retains the right to use any images for the online blog post.

Upon final payment by Client, limited copyright ownership of the resulting images will be transferred to Client. The digital negatives and/or slides are the property of Client for personal use and for the purposes of the reproduction and giving of photographs to friends and relatives. Client must obtain written permission from and compensate Acromatico prior to the Client or its friends and relatives publishing or selling the photographs for profit.

Client grants the website www.acromatico.com permission to display selected images resulting from this assignment as an example of Acromatico work and for advertising, and for entrance into photographic competitions and release all claims to profits that may arise from use of images.

The client hereby grants to Acromatico and its legal representatives and assigns, the irrevocable and unrestricted right to use and publish photographs of the Client or in which the Client may be included, for online blog posting; to alter (edit, improve) the same without restriction; and to copyright the same. The Client hereby releases Acromatico and its legal representatives and assigns from all claims and liability relating to said photographs.

Relationship of Parties

It is understood by the parties that Acromatico is an independent contractor with respect to Client, and not an employee of Client. It is also understood that Acromatico's services will be performed as per Client's requests allowing for artistic expression.

It is also understood that the photography schedule and selected methodology are designed to accomplish the goals and wishes of Client. Henceforth, Acromatico and Client agree that constant and effective communication, positive cooperation, punctuality, and respect are essential for this contract.

The parties agree to a pre-event consultation two to three weeks before the event date in order to finalize the actual shooting times, locations, and to review the Services Provided section of this Contract.

The Client agrees to set aside a time of arrival at least 10 to 15 minutes prior to the session. If the Client does not arrive in time for the session, the photographer shall not be held liable for failure to take desired photographs or poses that occur during the session day. Acromatico recommends adding extra hours of coverage, billable at $400/hour for 1 photographer to photograph more images of the Client in case the client desires more images taken due to lack of time, weather changes, or other changes that may have occurred in the day of the session that impede obtaining the desired photographs for the Client. If the client decides to add additional hours verbally, prior or during the event, the final images will not be delivered until the payment is completed.

Acromatico is not responsible if key individuals fail to appear or cooperate during photography sessions or for missed images due to details not revealed to Acromatico.

House Rules

The photographer is limited by the guidelines of the ceremony official or reception site management. Client agrees to accept the technical results of their imposition on the photographer. Negotiation with the officials for moderation of guidelines is Client's responsibility; Acromatico will offer technical recommendations only.

Indemnification

Client agrees to indemnify and hold harmless Acromatico from attorney's fees and costs that arise from litigation by Client against Acromatico that may result from the acts or omissions of Acromatico.

Warranty

Acromatico shall provide its services and meet its obligations under this Contract in a timely and workmanlike manner, using its knowledge for performing the services, which meet generally acceptable photography industry standards, and will provide a standard of care equal to care used by other photographers in the industry.

Default

The occurrence of any of the following shall constitute a material default under this Contract:

a. The failure to make a required payment when it is due.

b. The insolvency or bankruptcy of either party.

Remedies

In addition to any and all other rights a party may have available according to law, if a party defaults by failing to substantially perform any provision, term or condition of this Contract (including without limitation the failure to make a monetary payment when due), the other party may terminate the Contract by providing written notice to the defaulting party. This notice will provide the nature of the default, and the defaulting party will have 60 days from the receipt of notice to cure the default. Failure to cure the default will result in the automatic termination of this Contract.

Force Majeure

If performance of this Contract or any obligation under this Contract is prevented, restricted, or interfered with by causes beyond either party's reasonable control, and if the party unable to carry out its obligation gives the other party reasonably timely written notice of such event, then the obligations of the party invoking this provision shall be suspended to the extent necessary by such event. These causes can include but are not limited to, acts of God, fire, explosion, vandalism, storm or other similar occurrence, emergencies, sickness, Covid, etc. The excused party shall use reasonable efforts under the circumstances to avoid or remove such causes of non-performance and shall proceed to perform within a reasonable time whenever such causes are removed or ceased.

In the event of rain or snow or any form of weather disturbances, the photographer will make the necessary changes in the photographic session and will not be responsible for any disappointment caused by the weather. However, the photographer, with the co-operation of the client, will do his best to produce coverage of the session within the time allocated.

Limit of Liability

In the unlikely event that the photographer is injured or becomes too ill to photograph the event, Acromatico will make every effort to secure a replacement photographer. If the situation should occur and a suitable replacement is not found, responsibility and liability is limited to the return of all payments received for the event package minus the already provided products, sessions and services. Acromatico takes the utmost care with respect to exposure, transportation, and processing the photographs. However, in the unlikely event that photographs have been lost, stolen, or destroyed for reasons within or beyond Acromatico control, Acromatico liability is limited only to the return of all payments received for the event package minus the already provided products, sessions and services. The limit of liability for a partial loss of originals shall be a prorated amount of the exposures lost based on the percentage of total number of originals.

If the venue gets moved to another location, an applicable cost of 65 cents per mile and possible travel costs will be applied to any venues beyond a 50-mile range. The photographer cannot be held responsible for the lack of coverage caused by the Register office, Venue, or Location regarding photography or anyone connected with the aforementioned. The photographer does not undertake to guarantee any specific picture nor incorporate any specific background, location or group arrangement.

Severability

If any provision of this Contract is deemed invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Contract is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

Amendment

This contract may be modified or amended in writing, if the writing is signed by all parties obligated under the amendment, and the original contract.

Governing Law

Parties to this agreement agree that the Contract will be construed under Florida law and that should any litigation arise as a result of this agreement, it will be litigated in the State of Florida.
